One‑Time Website Sale Agreement

1. Parties

Developer: Nenix Web Design, 81 Eagen Drive. Email: nenixwebdesign@gmail.com.

The Developer and Client are collectively the “Parties”.

2. Scope of Work

The Developer will design and deliver a custom brochure/marketing website (“Site”) as a one‑time project. The project will be fulfilled according to the package selected by Client on nenixwebdesign.ca (Starter, Business, or Pro). The package features define the baseline scope (pages, sections, features, analytics level, and launch support). Anything not listed in the chosen package or this Agreement is out‑of‑scope and may be quoted separately.

Deliverables & Handoff

• Production‑ready static assets (HTML/CSS/JS/images) and/or CMS export as applicable.
• Launch support per package (DNS guidance, go‑live checklist, basic analytics setup where included).
• Client admin/owner access to hosting and DNS for the live Site. Developer’s admin access will be removed after handoff.

Ownership & Hosting. Client owns and pays for its domain name and hosting. The Site will be deployed to Client’s own hosting (e.g., Client’s Netlify account) or transferred into Client’s account at project completion. The Developer will assist with transfer and ownership change on Netlify during launch support. Client remains responsible for registrar fees and ongoing hosting costs.

3. Timeline & Acceptance

• Typical duration: Starter ~1 week, Business ~2–3 weeks, Pro ~3–4 weeks. Actual dates will be confirmed in writing.
• Developer will provide a preview (“Website Demo”) for Client review.
• Client will accept or reject deliverables in writing within 7 calendar days of delivery; silence is deemed acceptance.

4. Revisions & Change Requests

Included are up to 2 rounds of design revisions and 2 rounds of content/layout revisions within the agreed scope. Additional rounds or new features are out‑of‑scope and billed at CAD $60/hr upon Client approval.

5. Fees & Payment (CAD)

• Fixed project fee: based on the selected package (Starter / Business / Pro) as listed on nenixwebdesign.ca at time of engagement.
• Schedule: 50% deposit to start; 50% on final delivery and prior to transfer of ownership. Final payment is due within 10 days of invoice.
• Late fee: 1.5% per month (or the maximum allowed by law) on overdue balances after the 10‑day grace period.
• Out‑of‑scope and approved hourly work is billed at CAD $60/hr.

6. Warranty & Support

No warranty is provided. The Site is delivered “as‑is.” Post‑launch fixes, content updates, or feature changes are out‑of‑scope unless separately agreed.

7. Intellectual Property & Portfolio

• Upon receipt of full payment, Client receives full ownership of the final Site deliverables.
• The Developer retains ownership of any pre‑existing tools, frameworks, and libraries, and grants Client a perpetual, non‑exclusive license to use them as integrated into the Site.
• Developer may display non‑confidential work product, screenshots, and a credited site link in Developer’s portfolio and marketing.

8. Termination

Either Party may terminate with 7 days’ written notice. If Client terminates, the initial 50% deposit functions as a non‑refundable kill fee; Client also pays for any approved out‑of‑scope work performed up to termination. If Developer terminates (other than for Client breach), Developer will refund any unearned portion of the fee.

9. Liability; Subcontracting

• To the fullest extent permitted by law, each Party’s total liability under this Agreement is limited to the amounts paid by Client to Developer under this Agreement.
• Developer will not use subcontractors without Client’s written consent.

10. Law, Venue, Entire Agreement

This Agreement is governed by the laws of Ontario, Canada. Any dispute will be brought exclusively in the courts located in Kitchener, Ontario. This document is the entire agreement and supersedes prior discussions. Changes must be in a signed writing.
