One‑Time Website Sale Agreement

Between Nenix Web Design and the Client named below
This Agreement covers a fixed‑fee, one‑time sale and handoff of a marketing website. Ongoing hosting, security, monitoring and content updates are not included unless expressly stated. Governing law: Ontario, Canada. Venue: Kitchener, Ontario.

1. Parties

Developer: Nenix Web Design, 81 Eagen Drive. Email: nenixwebdesign@gmail.com.

The Developer and Client are collectively the “Parties”.

2. Scope of Work

The Developer will design and deliver a custom brochure/marketing website (“Site”) as a one‑time project. The project will be fulfilled according to the package selected by Client on nenixwebdesign.ca (Starter, Business, or Pro). The package features define the baseline scope (pages, sections, features, analytics level, and launch support). Anything not listed in the chosen package or this Agreement is out‑of‑scope and may be quoted separately.

Deliverables & Handoff

Ownership & Hosting. Client owns and pays for its domain name and hosting. The Site will be deployed to Client’s own hosting (e.g., Client’s Netlify account) or transferred into Client’s account at project completion. The Developer will assist with transfer and ownership change on Netlify during launch support. Client remains responsible for registrar fees and ongoing hosting costs.

4. Revisions & Change Requests

Included are up to 2 rounds of design revisions and 2 rounds of content/layout revisions within the agreed scope. Additional rounds or new features are out‑of‑scope and billed at CAD $60/hr upon Client approval.

No warranty is provided. The Site is delivered “as‑is.” Post‑launch fixes, content updates, or feature changes are out‑of‑scope unless separately agreed.

7. Intellectual Property & Portfolio

8. Termination

Either Party may terminate with 7 days’ written notice. If Client terminates, the initial 50% deposit functions as a non‑refundable kill fee; Client also pays for any approved out‑of‑scope work performed up to termination. If Developer terminates (other than for Client breach), Developer will refund any unearned portion of the fee.

10. Law, Venue, Entire Agreement

This Agreement is governed by the laws of Ontario, Canada. Any dispute will be brought exclusively in the courts located in Kitchener, Ontario. This document is the entire agreement and supersedes prior discussions. Changes must be in a signed writing.
